PrePlanted — Terms of Service

Please read these Terms carefully before using the Service. By creating an account or using PrePlanted, you agree to be bound by them. If you do not agree, do not use the Service.

These Terms do not affect your statutory rights as a consumer under UK law.


1. About Us

PrePlanted is operated by PrePlanted Ltd, registered in England and Wales (company number 17258919), whose registered office is at 71–75 Shelton Street, Covent Garden, London, WC2H 9JQ.

2. Definitions

The following terms are used throughout this document with specific meanings. Where these terms appear with a capital letter, they have the meaning set out below.

Account — a registered account created by you to access the Service.

Buyer — a user who places an Order to purchase Goods from a Seller.

Content — any text, images, or other material that you post, upload, or make available through the Service.

Feedback — any suggestions, ideas, or comments you send to us about the Service.

Goods — items listed for sale, exchange, or any other form of trade on the Service.

Order — a request by a Buyer to purchase Goods from a Seller through the Service.

Seller — a user who lists Goods for sale or trade through the Service.

Service — the PrePlanted website at www.preplanted.co.uk and/or the PrePlanted mobile application.

We / Us / Our — PrePlanted Ltd.

You / Your — the individual or organisation accessing or using the Service.


3. The Service

PrePlanted is an online marketplace that connects buyers and sellers of secondhand garden items, plants, seeds, and tools. We act as a facilitator between buyers and sellers — we are not a party to the contract of sale between them.

Nothing in these Terms removes or limits any statutory rights you hold as a consumer under UK law, including your rights under the Consumer Rights Act 2015 and the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.


4. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you confirm that you meet this requirement.


5. Your Account

5.1 Registration

When you register an account, you must provide accurate, complete, and up-to-date information. Providing false information is a breach of these Terms.

You must not use a username that impersonates another person, infringes a trademark, or is offensive or obscene.

5.2 Information We May Ask For

Depending on how you use the Service, we may ask you to provide:

  • Your name, email address, phone number, and postal address.
  • Identity documents, for the purposes of verification.
  • Bank account details, if you are listing Goods for sale.
  • Payment card details and billing address, if you are placing an Order.

5.3 User Verification

We do not carry out background checks on users and do not endorse any user. We are not responsible for the accuracy or completeness of information that users provide.

5.4 Keeping Your Account Secure

You are responsible for keeping your password confidential and for all activity that takes place under your account. You must notify us immediately at hello@preplanted.co.uk if you become aware of any unauthorised access to your account.

5.5 Suspension and Termination

We may suspend or terminate your account if you breach these Terms, engage in fraudulent or illegal activity, or conduct yourself in a way that causes harm to other users or the Service. Except in cases of suspected fraud or illegal activity, we will notify you of the reason before taking action.

If you are a Seller with active listings or pending Orders at the time of termination, we will make reasonable efforts to ensure any funds owed to you are paid in the ordinary course, unless we are required by law to withhold them.

You may close your account at any time by using the account deletion function or by contacting us at hello@preplanted.co.uk.


6. Content

6.1 Posting Content

You are responsible for all Content you post on the Service, including its accuracy, legality, and appropriateness.

By posting Content, you grant us a non-exclusive licence to use, display, reproduce, and distribute that Content on the Service for the purposes of operating the Service. You retain ownership of your Content.

You confirm that: (a) you own the Content or have the right to post it; and (b) posting it does not infringe any third party's rights.

6.2 Content Standards

You must not post Content that:

  • Is unlawful, threatening, abusive, defamatory, or obscene.
  • Discriminates against any individual or group based on religion, race, sex, sexual orientation, gender, nationality, or any other characteristic.
  • Constitutes unsolicited advertising, spam, or any form of lottery or gambling.
  • Contains malware, viruses, or other harmful code.
  • Infringes any intellectual property or privacy rights.
  • Impersonates any person or organisation, including PrePlanted.
  • Is false or misleading.

We reserve the right to remove Content that breaches these standards and to suspend or terminate accounts where serious or repeated breaches occur.

6.3 Data and Backups

We perform regular backups of the Service but cannot guarantee that Content will never be lost or corrupted. We recommend that you keep your own copies of any important Content you post.

6.4 Copyright Complaints

If you believe that Content on the Service infringes your copyright, please send a written notice to hello@preplanted.co.uk including:

  • Your name and contact details.
  • A description of the copyrighted work and a link to or copy of it.
  • The URL of the allegedly infringing Content on the Service.
  • A statement that you have a good faith belief the use is not authorised by the copyright owner.
  • A statement that the information in your notice is accurate and that you are authorised to act on behalf of the copyright owner.

We will investigate notices promptly and take appropriate action, which may include removing the relevant Content.


7. Prohibited Goods

The following Goods may not be listed or sold on the Service. Doing so is a serious breach of these Terms and may result in immediate account suspension and referral to the relevant authorities.

7.1 Legally Prohibited Items

You must not list or sell:

  • Invasive non-native plant species prohibited under the Wildlife and Countryside Act 1981 (Schedule 9) and the Infrastructure Act 2015. It is a criminal offence to sell, offer for sale, or cause the spread of Schedule 9 species in England and Wales. Prohibited species include, but are not limited to: Japanese knotweed (Fallopia japonica), giant hogweed (Heracleum mantegazzianum), Himalayan balsam (Impatiens glandulifera), and rhododendron (Rhododendron ponticum). Sellers are responsible for checking the current Schedule 9 list at www.gov.uk before listing any plant species.

  • CITES-protected species — any plant, bulb, seed, or plant-derived product requiring a permit under the Convention on International Trade in Endangered Species, where such a permit is not held.

  • Plant material requiring documentation under the Plant Health (England) Order 2015 or equivalent devolved legislation, including any plant passport or phytosanitary certificate, unless that documentation is provided.

  • Counterfeit, stolen, or unlawfully obtained goods.

  • Any other item whose sale or supply is prohibited or restricted by UK law.

7.2 Plant Health Standards

All live plants, seeds, bulbs, and plant material must be:

  • Free from visible signs of disease, pest infestation, or contamination.
  • Accurately described, including species name, condition, and any relevant growing information.
  • Compliant with applicable plant health legislation.

7.3 Reporting Prohibited Listings

If you see a listing that you believe violates this section, please report it to hello@preplanted.co.uk. We will investigate and take appropriate action where a breach is confirmed.


8. Orders and Purchases

8.1 Our Role

We facilitate transactions between Buyers and Sellers. We are not a party to the contract of sale between a Buyer and a Seller, and we do not take responsibility for the quality, legality, or accuracy of Goods listed by Sellers, except as required by law.

8.2 Your Right to Cancel (Consumer Contracts Regulations 2013)

If you are a consumer purchasing Goods through the Service, you have the right to cancel your Order within 14 calendar days of receiving the Goods, without giving a reason.

To cancel, notify the Seller through the Service with a clear statement of your intention to cancel. You may use the following wording:

"I wish to cancel my Order for [description of Goods], received on [date]. Name: [your name]. Date: [date]."

Exceptions: The right to cancel does not apply to:

  • Goods that deteriorate or expire rapidly, such as cut flowers or certain live plants.
  • Sealed goods that are unsuitable for return for hygiene reasons, once opened.
  • Goods made to your specification or clearly personalised.

If cancellation applies, the Seller must refund you in full — including standard delivery costs — within 14 days of receiving the returned Goods or proof that you have sent them. You are responsible for the cost of returning Goods unless the Seller agrees otherwise.

8.3 Pricing

Prices are set by Sellers. We do not guarantee that prices on the Service are accurate or up to date. Sellers may revise prices at any time before accepting an Order.

Where a price needs to be revised after an Order has been accepted — due to circumstances beyond the Seller's control — you will have the right to cancel and receive a full refund.

8.4 Payment

Payments are processed through third-party payment providers. Those providers have their own terms of service which apply to the processing of your payment. We are not liable for delays or failures caused by your payment provider or card issuer.

8.5 Service Fees

We may charge fees for using the Service. Any applicable fees will be clearly displayed before you complete an Order or list Goods. We will give at least 30 days' notice of any changes to fees before they take effect for existing users.

8.6 Order Changes

Any changes to an Order must be agreed between the Buyer and Seller through the Service. Both parties are responsible for any additional costs arising from agreed changes.

8.7 Cancellation by Us

We may cancel an Order at any time in the event of:

  • The Goods becoming unavailable.
  • A pricing or description error.
  • An error in the Order.
  • Suspected fraud or illegal activity.

If we cancel an Order after payment has been taken, we will arrange a full refund to the Buyer without undue delay.

8.8 Cancellation by Buyers

To cancel outside of your statutory cancellation rights, please contact the Seller in the first instance. If the matter cannot be resolved with the Seller, contact us at hello@preplanted.co.uk.

8.9 Cancellation by Sellers

If a Seller cancels an accepted Order, the full amount paid by the Buyer — including any Service fees charged to the Buyer — will be refunded to the Buyer. The Seller will not receive payment.

8.10 Disputes Between Buyers and Sellers

If a dispute arises between a Buyer and a Seller, please contact us at hello@preplanted.co.uk and we will try to help resolve it. Our involvement does not limit either party's right to pursue other remedies, including through the courts or an Alternative Dispute Resolution scheme (see section 11).


9. Our Liability

9.1 What We Are Always Liable For

Nothing in these Terms limits our liability for:

  • Death or personal injury caused by our negligence.
  • Fraud or fraudulent misrepresentation.
  • Any other liability that cannot be excluded or limited under UK law.

9.2 Limit on Our Liability

Subject to section 9.1, our total liability to you in connection with the Service is limited to the greater of: (a) the amount you paid through the Service in connection with the relevant transaction; or (b) £100.

We are not liable for any indirect or consequential loss, including loss of profits, loss of data, or business interruption, to the extent permitted by law.

9.3 Consumer Rights

If you are a consumer, you have rights under the Consumer Rights Act 2015 in respect of Goods purchased through the Service. Those rights are not affected by these Terms. In particular, we do not exclude the implied terms as to satisfactory quality, fitness for purpose, or conformity with description where those terms apply under UK law.

9.4 Third-Party Websites

The Service may contain links to third-party websites. We have no control over those websites and are not responsible for their content or practices. We recommend that you read the terms and privacy policies of any third-party site you visit.


10. Intellectual Property

The Service, including its design, features, and original content, belongs to PrePlanted Ltd and is protected by UK and international copyright and trademark law.

Our name, logo, and brand may not be used without our prior written consent.

Content posted by users remains the property of those users, subject to the licence granted in section 6.1.


11. Disputes and Alternative Dispute Resolution

If you have a complaint about the Service, please contact us first at hello@preplanted.co.uk. We will aim to respond within 5 working days and try to resolve the matter informally.

If we are unable to resolve a dispute informally, you may refer it to an Alternative Dispute Resolution (ADR) scheme. As required by the Alternative Dispute Resolution for Consumer Disputes Regulations 2015, we confirm that we are not currently signed up to a specific ADR scheme, but you retain the right to use the courts or any applicable regulatory body.

Your right to bring a claim before the courts of England and Wales is not affected by anything in these Terms.


12. Feedback

Any suggestions or ideas you share with us about the Service may be used by us freely and without restriction. By submitting Feedback, you assign all rights in that Feedback to us. If that assignment is ineffective for any reason, you grant us a permanent, royalty-free, worldwide licence to use and develop the Feedback without restriction.


13. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales, except where you are a consumer resident in Scotland or Northern Ireland, in which case you may also bring proceedings in your local courts.

If you are a consumer resident in the European Union, you will benefit from any mandatory consumer protection provisions of your country of residence.


14. Changes to These Terms

We may update these Terms from time to time. For material changes — including any changes that affect your rights or the fees you pay — we will give at least 30 days' notice by email or by a prominent notice on the Service.

If you continue to use the Service after updated Terms take effect, you will be taken to have accepted them. If you do not agree to the updated Terms, you should stop using the Service and may close your account.


15. General

Severability — If any part of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver — If we do not enforce a right under these Terms on one occasion, that does not prevent us from enforcing it on a future occasion.

Entire Agreement — These Terms, together with our Privacy Policy, constitute the entire agreement between you and PrePlanted regarding your use of the Service.
